1. INTRODUCTION & AGREEMENT

These Terms and Conditions ("Agreement") govern all web development, design, software, and related digital services provided by Litec Software Company ("Litec", "we", "us", or "our") to clients ("Client", "you"). By engaging our services, making any payment, or approving any project proposal, you agree to be fully bound by these terms.
Litec reserves the right to update these Terms at any time. The most current version shall apply to all active and future projects.
2. PROJECT SCOPE & CLIENT RESPONSIBILITIES

All services are governed strictly by the agreed project scope outlined at the time of engagement. Any work beyond the agreed scope — including additional pages, features, integrations, or redesigns — constitutes additional work and will be quoted and billed separately.
2.2 Client Responsibilities
The successful and timely delivery of any project depends heavily on the client. The client is solely responsible for:
- Providing all required content (text, images, videos, logos, branding materials) in the correct format and specifications as instructed by Litec.
- Responding to requests, approvals, and feedback within a reasonable timeframe.
- Providing accurate and complete information required to complete the project.
- Ensuring that all media files submitted to Litec are owned by the client or that the client holds appropriate licenses for their use.
NOTE: Our services do not include photo editing, video editing, content writing, or media production unless explicitly agreed upon and quoted as a separate service. Clients must provide media in ready-to-use formats.
2.3 Media & File Specifications
Litec may provide technical guidance on optimal file formats and sizes. Clients are advised to follow these recommendations to ensure the best performance and user experience for their website. If a client chooses to proceed contrary to Litec's technical recommendations, Litec shall not be held liable for any resulting issues including (but not limited to) slow loading times, poor performance, SEO impact, or visual degradation.
Specifically regarding video files: uploading large video files (over 10MB) directly to the hosting server is not recommended. Litec strongly advises using third-party video hosting platforms (e.g., YouTube, Vimeo) and embedding links on the website. If a client insists on direct server upload, Litec will fulfil the request but accepts no responsibility for any adverse effects on website speed, performance, or user experience.
3. PROJECT DELIVERY & TIMELINE

Litec's standard delivery time is 18 business days from the date that all required content and materials are received from the client. The delivery clock begins only when all necessary information has been provided — not from the project start date or payment date.
3.2 Project Delays Caused by Client
If a project is delayed due to the client's failure to provide content, approvals, feedback, or communication in a timely manner, Litec shall not be held responsible for the resulting delay. In such cases:
- Litec will make reasonable efforts to notify the client and set new milestones.
- If a project remains on hold for more than 30 days due to client inaction, Litec reserves the right to deprioritise the project and allocate time to other clients.
- Projects placed on hold by the client for more than 60 days may be subject to a project reactivation fee before work resumes.
- Litec's free revision and maintenance periods continue to run from their original start dates regardless of any client-caused delays or holds.
3.3 Delayed Project Restart
If a client requests to resume work on a previously paused or inactive project, Litec will resume work based on current workload and scheduling. Litec cannot guarantee immediate priority for projects reactivated after a period of inactivity. Clients who reactivate a project after an extended hold period (more than 60 days) acknowledge that:
- Litec's current project schedule takes precedence.
- Work on the reactivated project will be completed progressively within available time slots.
- Expedited delivery may be available for an additional fee.
4. REVISIONS & CHANGE REQUESTS

4.1 Unlimited Revisions Policy
Litec offers Unlimited Revisions for a period of 3 months from the date the completed website is first delivered to the client. "Revisions" refer to modifications of existing design elements, layout adjustments, content updates, and minor functional changes within the original agreed scope.
NOTE: Revisions do NOT include adding new pages, new features, new integrations, structural redesigns, or any work outside the original project scope. These will be quoted as new work.
4.2 Submitting Revision Requests
To ensure efficiency, clients are requested to compile all revision requests and submit them in a single communication, rather than sending individual requests one at a time. This allows Litec to batch changes and complete them more efficiently. Litec is not obligated to process individual change requests submitted out of sequence or repeatedly over a short period.
4.3 Expiry of Revision Period
Once the 3-month revision period has expired, all further changes — regardless of size — will be treated as paid work and quoted accordingly. Litec will not be obligated to make free changes to any project after this period has ended, even if the project was paused or delayed due to client inaction during the revision window.
A full redesign of a website (i.e., a complete overhaul of layout, structure, or visual identity) is not covered under the revision policy and will be treated as a new project and priced accordingly. Any full redesign carried out as a goodwill gesture by Litec does not establish a precedent or obligation for future free redesigns.
5. FREE TECHNICAL MAINTENANCE

Litec provides free technical maintenance for a period of 6 months from the date the completed website is first delivered to the client. This includes:
- WordPress core, theme, and plugin updates.
- Basic security monitoring.
- Monthly site health checks.
- Email and WhatsApp support for technical issues.
This free maintenance period applies to technical issues only. It does not include content updates, design changes, product additions, or new feature development. After the 6-month period expires, ongoing maintenance is available through Litec's paid Monthly Maintenance Packages.
NOTE: Free maintenance and revision periods run from their original start dates and are not paused or extended due to project delays, client holds, or communication gaps.
6. WOOCOMMERCE & PRODUCT MANAGEMENT

Litec's standard packages include the addition of a set number of products to WooCommerce stores, as specified in the selected pricing plan:
- Business Plan: up to 15 products
- Elite Plan: up to 30 products
Any additional products beyond the plan limit will be added at the client's own discretion using their admin credentials, or can be added by Litec under a separate paid Product Maintenance Package.
Where Litec agrees to add products beyond the plan limit as a courtesy, this does not constitute a modification of the original agreement and does not establish an obligation to continue doing so. Any such additional work will be carried out based on Litec's available time and capacity.
All product information — including names, descriptions, prices, images, and videos — must be provided by the client in a ready-to-upload format. Litec does not create, write, edit, or reformat product content.

Projects require an advance payment (deposit) before work commences. The remaining balance is due upon project completion and before the website is made publicly live or credentials are handed over to the client. Litec reserves the right to withhold delivery of completed work until full payment has been received.
If payment is not received by the agreed due date, Litec reserves the right to:
- Suspend or pause all work on the project.
- Remove the website from the hosting server until payment is cleared.
- Charge a late payment fee of LKR 2,000 per week for amounts outstanding beyond 14 days.
Advance payments are non-refundable once work has commenced. Refunds on completed deliverables are not issued. If a project is cancelled by the client after commencement, any work completed up to the point of cancellation will be charged at Litec's hourly rate, and any excess advance payment will be refunded after deduction.
8. HOSTING, DOMAIN & THIRD-PARTY SERVICES

Where Litec provides hosting and domain registration as part of a package, the client acknowledges that:
- Hosting and domain services are subject to renewal fees after the initial period.
- Litec is not responsible for outages, data loss, or issues caused by third-party hosting providers.
- Litec does not guarantee 100% uptime as server availability depends on third-party hosting infrastructure.
- Domain ownership may be transferred to the client upon request after full payment is received.

Upon receipt of full and final payment, the client receives ownership of the completed website design and its content (excluding third-party themes, plugins, or licensed assets). Litec retains the right to display completed projects in its portfolio unless the client explicitly requests otherwise in writing.
All themes, plugins, and third-party tools used in the project are subject to their respective licenses. Litec does not transfer ownership of licensed software to clients.
The client confirms that all media, content, and materials submitted to Litec for use in the project are either owned by the client or properly licensed. Litec bears no liability for any copyright infringement resulting from client-submitted materials.
10. COMMUNICATION & PROFESSIONAL CONDUCT

Litec is committed to maintaining a professional, respectful, and productive working relationship with all clients. In return, we ask that all communication between the client and Litec team members remains professional and courteous.
Litec reserves the right to suspend or terminate services without refund in cases of abusive, threatening, or disrespectful communication directed towards any member of the Litec team. This includes written messages, phone calls, WhatsApp communications, and in-person interactions.
All technical advice provided by Litec is given in the client's best interest. Clients are encouraged to ask for clarification before making decisions that may affect their project's functionality, performance, or security.
11. LIMITATION OF LIABILITY

Litec's liability in connection with any project or service shall not exceed the total amount paid by the client for that specific project. Litec shall not be liable for any indirect, consequential, incidental, or special damages, including but not limited to loss of revenue, loss of business, or data loss.
Litec is not responsible for any damages or issues arising from:
- The client's failure to follow technical recommendations provided by Litec.
- Third-party services, plugins, themes, or platforms used as part of the project.
- Security breaches resulting from client misuse of credentials or failure to maintain recommended security practices.
- Project delays caused by the client's failure to provide required content or approvals on time.
12. TERMINATION OF SERVICES

Either party may terminate the engagement with written notice. In the event of termination:
- All work completed to date will be charged based on Litec's quoted rates.
- Advance payments are non-refundable.
- Litec will hand over all completed deliverables upon receipt of full payment for work completed.
- Any free service periods (revisions, maintenance) will be immediately terminated.

These Terms and Conditions are governed by and construed in accordance with the laws of Sri Lanka. Any disputes arising from these terms or the services provided by Litec shall be subject to the jurisdiction of the courts of Sri Lanka.

By making a payment, signing a proposal, or communicating approval of any project — verbally, in writing, or via electronic means (including WhatsApp or email) — the client confirms that they have read, understood, and agreed to these Terms and Conditions in their entirety.
